Please read these Terms of Service ("Terms") carefully before using the StandardsPro platform. By accessing or using our service, you agree to be bound by these Terms.
1. Account and Access
To use StandardsPro, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring that all users within your organisation comply with these Terms
- Keeping your account information up to date
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
2. Acceptable Use
You agree to use StandardsPro only for lawful purposes and in accordance with these Terms. You must not:
- Use the service for any illegal or unauthorised purpose
- Upload malicious files, viruses, or harmful code
- Attempt to gain unauthorised access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the service
- Use the service to store or transmit content that infringes intellectual property rights
- Resell, sublicense, or redistribute the service without our written consent
- Use automated tools to access the service (unless explicitly permitted)
3. Subscription and Payment
StandardsPro offers subscription plans with different features and pricing tiers:
- Free Trial: New accounts receive a 14-day free trial with full access to features in their chosen plan
- Billing: Subscriptions are billed monthly or annually, as selected at signup
- Payment: Payment is due at the start of each billing period
- Price Changes: We may modify pricing with 30 days notice to existing subscribers
All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.
4. Cancellation and Refunds
You may cancel your subscription at any time through your account settings:
- Your subscription will remain active until the end of the current billing period
- No partial refunds are provided for unused time within a billing period
- You may export your data before cancellation
- After cancellation, your data will be retained for 30 days before permanent deletion
We reserve the right to offer refunds at our discretion in exceptional circumstances.
5. Your Content and Data
You retain ownership of all content and data you upload to StandardsPro. By using our service, you grant us a limited licence to:
- Store, process, and display your content as necessary to provide the service
- Create backups for disaster recovery purposes
- Process documents through AI features when you use those features
You are solely responsible for ensuring you have the right to upload and store the content you provide.
6. Disclaimer of Warranties
Important: StandardsPro is a compliance management tool designed to help you organise documentation and track compliance activities. It does not provide legal, regulatory, or professional compliance advice. You remain solely responsible for ensuring your organisation meets all applicable NDIS requirements and regulations.
The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Implied warranties of merchantability or fitness for a particular purpose
- Warranties that the service will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy or completeness of any information provided
7. Limitation of Liability
To the maximum extent permitted by law, StandardsPro and its directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Any damages resulting from your use or inability to use the service
- Any damages resulting from unauthorised access to or alteration of your data
Our total liability for any claims arising from these Terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless StandardsPro and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the service, your violation of these Terms, or your violation of any third-party rights.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of Australia. Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the service after such changes constitutes your acceptance of the new Terms.
